Welcome to Tru Identity, a compliance solution that ensures compliance in your supply chain. By using our platform, you agree to these Terms of Service (the “Terms”). Please read them carefully.

Last updated: August 11, 2024

Introduction

Tru Identity, Inc. (”Tru Identity”, "Tru", "We", "Us", or “Our”) provides a risk analysis platform (”Tru Services” or the “Services”) for brands and shippers to build and maintain compliant supply chains. Our platform offers seamless supply chain vetting and product compliance can help you get and stay compliant.

In the context of this document, “You”, “Your”, “Your Company”, “Entity”, and “Your Entity” represent the person or entity under contract with Tru Identity, or if no binding contract or payment agreement exists, then the user of the services, or whomever the data being provided represents.

By using Tru Services, you are consenting to these Terms.

Eligibility

Our platform is available to businesses ranging from SMBs through Enterprise, and our platform is currently accessible by referral only through one of our industry partners. As long as you play some role in the movement of a physical good/commodity, then you are exposed to potential supply chain risks, and Tru is valuable (and available) to you. Our platform is available in any region, and for any industry, but offers the most value to entities operating/registered in the countries of the G20, and especially to English-speaking countries, as we have dedicated resources and risk analysis available in these countries.

Personal Data and Privacy

We handle personal information of our users, as well as detailed information on the entities that they represent. Your data is always stored securely, and we will never sell or share your data with 3rd parties without your express consent, however, once you grant us the right to share it, that right is irrevocable. You can learn more about how we use, govern, and manage your data in our Privacy Policy.

Security

All data that we collect is encrypted in-transit and at-rest in our database, and all of our sites and services follow modern security best-practices. We encourage all users to use magic links for login, which improve account security and mitigate the risk of insecure passwords.

Some data may be made available on a public blockchain, and due to the nature of these blockchains, the data is irreversibly committed ("immutable") and cannot be taken down, modified, or altered in any way, even by us. The Tru Services will warn you at any time that such commitments to the blockchain are made, and by committing those changes you are agreeing to these terms and to our Privacy Policy.

Consequences of noncompliance can range from seizure of your goods during import, to personal liability of up to $1+ million or 10 years in prison. This is why Tru surfaces detectable risks within the regions that we operate, and we aim to make this information as accurate as possible. However; Tru’s data is considered purely informational in nature, and should not be interpreted as legal advice unless it is expressly denoted as-such, in writing, in our communications to you. This is because the information provided in the Tru Services is only as accurate as the data you provide to us, and we are not able to attest to the veracity of your provided information like a hands-on advisor would be able to. However, Tru acts as a reliable research and discovery database to make you aware of possible infringements in each region that you operate, and with more information, we can provide more accurate results. We strive at all times to ensure the accuracy of the data provided, and as such, we have partners in many jurisdictions, like Licensed Customs Brokers, who are bound to agreements with the governments (in the countries they operate in) to be up-to-date, or they may be at risk of losing their license. These partners help to review our data as a term of our partnership.

User Accounts

Users may create a "Principal" account, where they get access to our suite of compliance tools, starting with Product Compliance and Vendor Compliance. Some users may accept an invite to a Principal user's supply chain, and use the provided dashboard to declare business information.

Fees

Some customers may be required to pay for provisioning of the Tru Services. The ones that elect to pay must pay with debit/credit card, as that is our only allowed method of payment.
The Platform Subscription is the base subscription that is offered. We currently charge a fixed monthly fee for our Vendor Compliance tool of $99 USD per month (billed as $1,188 per year or $744 per 6-months). Your Platform Subscription includes:

  • Your first 4 vendors for Vendor Compliance
  • Your first 100 products for Product Compliance

Additionally, you may purchase Verification for each entity on the platform for a cost of $220 per year or $110 per 6-months.

Refunds

We offer refunds only in cases of extenuating circumstance, with evidence of such circumstance.
Refunds are issued solely at the discretion of Tru Identity.

Acceptable Use

Users must follow our "acceptable use" guidelines, which allow for reasonable usage of the platform. You cannot create accounts on behalf of others or other companies. Misrepresenting yourself is grounds to terminate your access to the platform, and in some cases, without a refund.

We reserve the right to close any account with or without cause at any time.

General Product Terms

Your access to the services is limited by the lifetime of your billing subscription or plan, and all plans are billed either bi-annually — meaning every 6 months — or annually — meaning once per calendar year on the same day each year.

To benefit from compliance risk analysis, you must first purchase the Platform Subscription (”Platform Subscription” or “Base Subscription”) during your company onboarding. If you have not yet been set up, the "Get Started" page is available here.

All additional features and plans are dependent on your base subscription, and all plans including the Platform Subscription will renew automatically until otherwise cancelled. If you fail to make payment, we will allow a brief grace period, at our discretion, where your data will remain available. After this grace period, your data may be subject to automated deletion and will be irrecoverable once deleted.

Product-Specific Terms

Vendor Compliance

When using the Vendor Compliance feature of Tru, you acknowledge and agree that you are making representations not only to Tru but also to the entities whose supply chain you participate in. You represent and warrant that the information provided is accurate at all times, and any attestations you make during your use of Tru Services are binding for both you and the entity you represent.

By using the Vendor Compliance feature, you agree that the data you provide will remain in the system in perpetuity. You acknowledge and agree that the information you provide may be relied upon by other users of the platform, including entities whose supply chain you participate in. Therefore, it is important that you ensure the accuracy and completeness of the information you provide.

You also agree that you are authorized to bind your company to these Terms of Service, and that by using the Vendor Compliance feature, you are making representations on behalf of your company. Your company will be bound by these representations and any other terms and conditions set forth in these Terms of Service regardless of the user that makes these changes.

You further acknowledge and agree that any breach of these representations and warranties may result in liability not only to Tru but also to the entities whose supply chain you participate in. Tru reserves the right to take appropriate action in the event of any such breach, including but not limited to the suspension or termination of your account and/or reporting such breach to the relevant entities.

Your plan, and thus fees assessed, for Vendor Compliance will initially depend on the number of 1st-tier vendors you have in your supply chain, based on a declaration you make during onboarding. There are 7 pricing tiers for Vendor Compliance which are based on the number of 1st-tier or "direct" vendors you have in your supply chain.

Product Compliance

By using the Product Compliance feature, you represent and warrant that all information you provide to us, including all attestations made in the questionnaire, is accurate and complete. You acknowledge that any inaccurate, incomplete, or misleading information may result in a breach of these Terms of Service, as well as legal and/or financial consequences for You.

You further represent that any attestations made during your use of the Tru Services are binding for both you and the respective entity, and that you have the authority to make such attestations on behalf of the entity. You acknowledge that Tru is not responsible for verifying the accuracy or completeness of any information you provide, and that it is your responsibility to ensure that all information is accurate and up to date.

The Product Compliance feature is not intended to provide legal advice, and you should not rely on the results as legal advice. The Product Compliance tool is intended to act as a risk analysis of your product catalog, as well as to continue to monitor those risks, with Tru as your platform to keep your team aware of any known and detectable risks.

Product Compliance support is managed on a market-by-market basis and requires constant monitoring by our team of regulatory and logistics experts. As of the date of these Terms of Service, product compliance is available in 4 jurisdictions and 24 more are in beta.

Upon termination, your right to use the services will immediately cease. If you wish to terminate your account, you may simply discontinue using the services.

You expressly understand and agree that to the extent permitted by applicable law, your use of the services is at your sole risk, and the services are provided on an “as is” and “as available” basis, with all faults. Company parties expressly disclaim all warranties, representations, and conditions of any kind, whether express or implied, including, but not limited to, the implied warranties or conditions of merchantability, fitness for a particular purpose and non-infringement arising from use of the website.

Limitation of Liability

In no event shall Tru Identity, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Without prejudice to the terms above, our liability under these terms, whether in contract, warranty, failure of a remedy to achieve its essential purpose, or any other legal or equitable theory, will in no event exceed the greater of $5,000 USD or 100% of the amounts actually received by Tru from you for the Services, in aggregate.

Indemnification

You agree to indemnify, defend and hold harmless Tru Identity, its affiliates, officers, directors, employees, consultants, agents, and suppliers from any and all claims, liability, damages, and/or costs (including, but not limited to, attorneys’ fees) arising from your use of our services, your violation of these Terms of Service, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity.

Waiver and Severability of Terms

Our failure to enforce any right or provision of these Terms of Service will not be deemed a waiver of such right or provision. In the event that any provision of these Terms of Service is held to be invalid or unenforceable, the remaining provisions of these Terms of Service will remain in full force and effect.

These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Tru Identity without restriction.

Notice

Any notices or other communications required or permitted hereunder, including those regarding modifications to these Terms of Service, will be in writing and given by Tru Identity via email or by posting to our website.
